CurrenC Group Terms of Service

Last updated: 13 October 2026

1. About us and these terms

1.1 These Terms of Service ("Terms") govern your access to and use of the website at www.currenc.co.za (the "Site"), the web application at app.currenc.co.za (the "Portal") and the payment, foreign exchange and related services we make available through them (the "Services").

1.2 The Services are provided by CurrenC Group Pty LTD, registration number 2019/458158/07, an authorised financial services provider (FSP No. 53709) licensed in Category II with a crypto asset service provider (CASP) class of business under the Financial Advisory and Intermediary Services Act 37 of 2002 ("FAIS"). Our address is 42 Montrose Avenue, Oranjezicht, Cape Town, 8000. In these Terms "we", "us" and "our" mean CurrenC Group Pty LTD.

1.3 "You" and "your" mean the business or other legal entity that registers for the Services, and, where the context requires, the individuals who act for it.

1.4 These Terms apply together with the following documents, which form one agreement between you and us (the "Agreement"): our Product Terms, our General Risk Warnings, our Privacy Policy, and any order form, quote or fee schedule we give you (together, the "Additional Documents"). If there is a conflict, the Product Terms prevail for the product they cover, and otherwise these Terms prevail.

1.5 By creating an account, by accepting these Terms electronically, or by using the Services, you agree to the Agreement. If you do not agree, do not use the Site, the Portal or the Services.

2. Who may use the Services

2.1 The Services are offered to businesses and other legal entities. By registering you confirm that you are duly incorporated or registered, that you have the power to enter into the Agreement, and that the person accepting these Terms is authorised to bind you.

2.2 Each individual who uses the Portal for you must be at least 18 years old and legally able to contract.

2.3 We may decline to offer the Services in, to or from certain countries, to certain types of business, or to any person, at our discretion and as the law requires. We do not provide the Services to anyone who is the target of applicable sanctions.

3. Your account

3.1 To use the Services you must register an account on the Portal and give us accurate, complete and current information. You must tell us promptly if anything changes.

3.2 Verification. We are required by law to identify and verify our customers, their directors, beneficial owners and authorised users, and to understand the source of funds and the purpose of each relationship. You must give us the information and documents we ask for. We may refuse, delay or end the Services if we cannot complete verification to our satisfaction.

3.3 Security. You are responsible for keeping your login details and any authentication devices secure, for everything done through your account, and for the actions of your authorised users. Tell us immediately at info@currenc.co.za if you suspect unauthorised access. We are not liable for instructions we act on in good faith that appear to come from your account.

3.4 We may limit, suspend or close an account where we reasonably believe it is necessary for security, to meet legal obligations, or because these Terms have been breached.

4. The Services

4.1 The Services allow you to request quotes for, fund, convert and send cross border payments and related foreign exchange transactions, and pay out to bank accounts and mobile money wallets in supported countries. The countries, currencies and payout methods available change from time to time and are shown on the Portal.

4.2 We act as an intermediary. To deliver the Services we use banks, authorised dealers, payment institutions, liquidity providers and other third parties (together, "Providers"). Your funds may be held by a Provider while a transaction is processed. The Providers' own terms and cut-off times may apply to your transaction.

4.3 The Services are for business purposes. Nothing on the Site or Portal is investment, tax, legal or financial advice unless we expressly give it to you in writing as a regulated financial service.

4.4 We may change, suspend or end any part of the Services, and will give notice where we reasonably can.

5. Quotes, rates and fees

5.1 Indicative rates. Rates, savings figures and comparisons shown on the Site, including comparisons with other providers, are indicative, based on data available at the time shown, and change often. They are not an offer. Comparisons are not a guarantee that our rate is better for any particular transaction.

5.2 Quotes. A binding quote is only the quote shown to you on the Portal when you request a transaction. A quote is valid for the period shown on the Portal (5 minutes unless stated otherwise). If you do not confirm the transaction within that period, the quote lapses.

5.3 Fees and exchange rate margin. Our fees, and any margin included in the exchange rate, are shown on the Portal before you confirm a transaction. By confirming you agree to them. Banks and other Providers may charge their own fees, which we will tell you about where we know them.

5.4 You must pay amounts due to us when they fall due. We may deduct fees we are owed from funds we hold for you, and may set off amounts you owe us.

6. Payment instructions

6.1 You must give instructions through the Portal (or another method we agree). You are responsible for the accuracy of every instruction, including the amount, currency and the recipient's name and account or wallet details. We rely on the details you give. We are not responsible for loss caused by incorrect details.

6.2 Once you confirm an instruction and we have accepted it, it cannot ordinarily be cancelled or changed. We will try to help recall a payment where we reasonably can, but we cannot guarantee that funds can be recovered, and Provider or recipient bank fees may apply.

6.3 Timing. Delivery times shown are estimates. Transactions are subject to bank and payment network cut-off times, public holidays, compliance checks and the Providers' own processes. We are not liable for delays outside our reasonable control.

6.4 Failed or returned payments. If a payment fails or is returned, we will return the amount to you less any unrecoverable fees and any exchange rate difference, as applicable and as the law allows.

6.5 Funding. You must fund each transaction from an account in your own name unless we agree otherwise. We may refuse or return funds received from third parties, from unverified sources, or in a manner that does not match your instruction.

7. Compliance, exchange control and reporting

7.1 We must comply with laws that apply to us and our Providers, including the Financial Intelligence Centre Act 38 of 2001 ("FICA"), anti money laundering and counter terrorist financing rules, sanctions, tax reporting requirements, the Exchange Control Regulations and the rules of the South African Reserve Bank and the Financial Surveillance Department, and the Protection of Personal Information Act 4 of 2013 ("POPIA").

7.2 We may, without prior notice and without liability to you, delay, block, refuse or reverse any transaction, freeze funds, ask for further information, or end the relationship, where we suspect or are required to act because of money laundering, terrorist financing, fraud, sanctions, an exchange control breach, or any other unlawful activity.

7.3 We may report your information and transactions to regulators, law enforcement, the Financial Intelligence Centre, tax authorities and our Providers where the law requires or permits, and we may be prohibited from telling you that we have done so.

7.4 Your responsibilities. You are responsible for your own tax, licensing, import and export, and exchange control obligations, and for ensuring that each transaction has a lawful purpose and is supported by the documents the law requires (for example invoices or contracts). You must give us those documents when we ask.

8. Prohibited use

8.1 You must not, and must not allow anyone else to:

(a) use the Services for any unlawful, fraudulent or deceptive purpose, or to move funds that come from or support crime;

(b) use the Services for prohibited or restricted businesses, such as illegal goods, gambling, adult content, weapons, unlicensed financial services and others listed on the Portal;

(c) give false or misleading information, or impersonate anyone;

(d) interfere with, probe, overload or attempt to gain unauthorised access to the Site, the Portal or our systems, or introduce malicious code;

(e) use bots, scrapers or automated means to access the Site or Portal in a way we have not permitted;

(f) use the Services to avoid exchange control, sanctions or tax rules;

(g) resell or provide the Services to others without our written agreement.

9. Third party services and links

9.1 The Site and Portal may link to or rely on third party websites and services. We do not control them and are not responsible for their content, availability or practices. Your use of them is at your own risk and subject to their terms.

10. Intellectual property

10.1 We own, or license, all rights in the Site, the Portal, the Services, our names, logos and brand, and our content. We grant you a limited, non exclusive, non transferable, revocable licence to use the Portal and Services for your own business purposes under these Terms.

10.2 You may not copy, modify, distribute, reverse engineer or create derivative works from any part of the Site, Portal or Services, or use our names or logos, without our written permission.

10.3 If you give us feedback or suggestions, you allow us to use them without restriction or payment.

11. Availability and changes to the Site

11.1 We try to keep the Site and Portal available but do not promise they will be uninterrupted or error free. We may suspend access for maintenance, security or reasons outside our control.

12. Disclaimers

12.1 To the extent the law allows, the Site, the Portal and the Services are provided "as is" and "as available". We give no warranty that they will meet your requirements, be free of errors, or be uninterrupted, other than warranties that cannot be excluded by law.

12.2 Information on the Site is general. Exchange rates, fees and availability can change, and information may become out of date. You should check current terms on the Portal before you transact.

12.3 You acknowledge the risks described in our General Risk Warnings, including exchange rate movements, delays, and the risks of using intermediaries and third party providers.

13. Limitation of liability

13.1 Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for fraud, or for gross negligence or wilful misconduct where the law does not permit exclusion.

13.2 Subject to clause 13.1, and to the extent permitted by law:

(a) we are not liable for any indirect, consequential or special loss, or for loss of profit, revenue, business, goodwill or opportunity, however caused;

(b) we are not liable for loss caused by the acts or omissions of Providers or other third parties, by incorrect details supplied by you, by events outside our reasonable control, or by delays caused by compliance checks we are required to perform; and

(c) our total liability to you in connection with the Agreement, whether in contract, delict or otherwise, is limited to the fees you paid us in the 12 months before the event giving rise to the claim or the amount of the affected transaction, whichever is lower.

14. Indemnity

14.1 You indemnify us, our directors, employees and Providers against any loss, claim, penalty or cost (including reasonable legal costs) arising from your breach of the Agreement, your breach of law, your instructions, or your use of the Services in a way we have not authorised.

15. Suspension and termination

15.1 You may close your account at any time by giving us 30 days' written notice, once all transactions are complete and amounts owing are paid.

15.2 We may suspend or terminate your access immediately if you breach the Agreement, if we are required to by law or a Provider, if we suspect unlawful activity, or if we decide to stop offering the Services. Otherwise we will give you 30 days' notice.

15.3 On termination we will return funds we hold for you, less amounts you owe us, once we have completed required checks and subject to the law. Clauses that by their nature should survive (including 5.4, 7, 10, 12, 13, 14 and 21) continue after termination.

16. Complaints

16.1 If you have a complaint, contact us at info@currenc.co.za and we will handle it under our complaints procedure, available on request. We will acknowledge your complaint within 5 business days and aim to resolve it within 30 days.

16.2 If you are not satisfied with our response, you may refer the complaint to the FAIS Ombud (www.faisombud.co.za).

17. Privacy

17.1 We process personal information as set out in our Privacy Policy. By using the Services you confirm that you have the right to give us any personal information about other people (such as directors, owners, employees and recipients) that you provide, and that you have told them about our Privacy Policy where required.

18. Changes to these Terms

18.1 We may update these Terms from time to time. We will post the updated Terms on the Site and Portal and, for material changes, give you reasonable notice (for example by email or on the Portal) of 30 days where practical. If you continue to use the Services after the change takes effect, you accept the updated Terms. If you do not accept them, you must stop using the Services and may close your account.

19. Notices and electronic communication

19.1 You agree that we may communicate with you, and give notices, electronically, including by email, on the Portal and by WhatsApp or SMS where you have given us your number. Electronic communications satisfy any legal requirement that a communication be in writing, in line with the Electronic Communications and Transactions Act 25 of 2002.

19.2 We will send notices to the contact details on your account. You must keep them up to date. A notice sent by email is treated as received 24 hours after it is sent unless we receive a failure message.

20. General

20.1 Entire agreement. The Agreement is the whole agreement between you and us about the Services and replaces earlier discussions and agreements about them.

20.2 Severability. If any part of the Agreement is found invalid or unenforceable, the rest continues to apply.

20.3 No waiver. If we do not enforce a right immediately, we do not waive it.

20.4 Assignment. You may not transfer your rights or obligations without our written consent. We may transfer ours to a related company or a successor to our business on notice to you.

20.5 Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control, including strikes, power or network failures, banking system outages, regulatory action, war, pandemic or natural disaster.

20.6 Relationship. Nothing in the Agreement makes either party the partner, agent or employee of the other, except where we expressly act as agent for a specific service.

21. Governing law and disputes

21.1 The Agreement is governed by the laws of the Republic of South Africa.

21.2 Before starting legal proceedings, the parties will try in good faith to resolve any dispute by discussion for at least 30 days.

21.3 Subject to the above, you agree to the non exclusive jurisdiction of the High Court of South Africa, Western Cape Division, Cape Town. We may also bring proceedings in any other court of competent jurisdiction.
